Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Breez Automated Banner Systems ("Breez," "we," "us," or "our") governing your access to and use of our website, platform, and banner management services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use our Services.

Description of Services

Breez Automated Banner Systems provides:

• Community Banner Programs: Turnkey banner display solutions for municipalities, business improvement districts (BIDs), and commercial properties, allowing partners to retain 100% of local sponsor revenue.
• Military Hero Banner Programs: Memorial banner services honoring veterans and active-duty service members
• Hardware Solutions: Patented quick-swap banner bracket systems for installation on existing infrastructure
• Banner Design Services: Professional artwork creation and approval workflow
• Installation and Maintenance: Full-service banner installation, seasonal changes, and ongoing maintenance
• Digital Platform: Online management tools for partners and sponsors

Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• If representing an organization, have authorization to bind that entity to these Terms
• Provide accurate, current, and complete registration information
• Not be prohibited from using our Services under applicable laws

Partner and Sponsor Agreements

Municipal Partners

Municipalities, BIDs, and other community partners entering into banner program agreements will receive separate, detailed contracts specifying program scope, pole locations, installation schedules, and mutual obligations. Those contracts supplement these Terms.

Sponsors and Advertisers

Businesses and organizations sponsoring banners agree to:

• Pay applicable fees as outlined in their sponsorship agreement
• Submit artwork meeting our specifications and approval guidelines
• Comply with all applicable advertising laws and regulations
• Maintain accurate business and contact information
• Refrain from submitting content that is unlawful, defamatory, or infringes third-party rights

Intellectual Property

Our Property

The Services, including our patented banner bracket technology, platform software, website design, logos, and content, are owned by Breez and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Services without express written permission.

Your Content

You retain ownership of artwork, logos, and content you submit ("Your Content"). By submitting Your Content, you grant Breez a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and modify Your Content solely for providing and promoting our Services. You represent that you have all necessary rights to grant this license.

Artwork and Content Guidelines

All submitted banner artwork must:

• Meet specified resolution and format requirements
• Not contain obscene, offensive, or discriminatory content
• Not infringe copyrights, trademarks, or other intellectual property rights
• Comply with local advertising regulations and municipal guidelines
• Be appropriate for public display in community settings

Breez reserves the right to reject or request modifications to any artwork that does not meet these guidelines. Final artwork approval is at our sole discretion.

Payment Terms

Payment terms are specified in individual sponsorship agreements. General terms include:

• Payments are processed securely through Stripe
• Fees are non-refundable once banners are produced, unless otherwise specified
• Late payments may incur interest and may result in service suspension
• Pricing is subject to change with reasonable notice for renewal periods

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claim arising from these Terms or Services shall not exceed the amount you paid to Breez in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise).

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for excellence, we do not guarantee that banners will be free from weather damage, vandalism, or other circumstances beyond our control. We maintain appropriate insurance and will work with partners to address issues promptly.

Indemnification

You agree to indemnify, defend, and hold harmless Breez and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your Content or submitted artwork
• Your violation of these Terms
• Your violation of any third-party rights

Termination

Either party may terminate the relationship according to terms specified in individual agreements. We reserve the right to suspend or terminate access to our Services immediately if:

• You breach these Terms or any applicable agreement
• You engage in fraudulent or illegal activity
• Required by law or court order

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Bergen County, New Jersey, except that either party may seek injunctive relief in courts of competent jurisdiction.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through our platform or via email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you disagree with changes, you must discontinue use of the Services.

Severability

If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
